Terms and Conditions

1. TENDER/SALE
1.1 The rates shall be based upon the items and quantities stated in the tender enquiry or Bill of Quantities. Should there be any variation(s) to the tendered/billed quantity by more than 10%, Steeledale shall reserve the right to review the rate in respect of resources relating to such quantities.
1.2 Steeledale shall provide a performance security to the Main Contractor in terms of the sub contract agreement in lieu of retention. This guarantee shall be released upon practical completion of works performed by Steeledale. In return, the Main Contractor shall provide a payment guarantee to Steeledale.

2. TECHNICAL SPECIFICATIONS
2.1 The Main Contractor shall supply, free of charge, to Steeledale three sets of the latest bending schedules and drawings conforming to SANS 282-2004 Edition 5.1.or the latest edition thereof at least 7 working days prior to the cutting and bending of the reinforcing.
2.2 Steeledale shall supply reinforcing and weldable graded reinforcing and mesh in accordance to SANS 920-2005 Edition 2.2, or the latest edition thereof.
2.3 The Main Contractor hereby agrees that Steeledale is not responsible to check any schedules or drawings for errors and the contractor hereby indemnifies and holds Steeledale harmless for any damage incurred as a result of errors in schedules or drawings.

3. DELIVERIES
3.1 The Main Contractor shall take delivery of reinforcing by offloading within the agreed turnaround time, sling, stack and safeguard until required to be built into the works by Steeledale. Main contractor to provide, free of charge, gum poles and spacers for the steel to be stacked clear of the ground to enable ease of slinging and free from mud and contamination. It will be the responsibility of the Main Contractor to ensure that reinforcing already delivered to the site, is moved (inclusive of hoisting) to the required position on site to facilitate the fixing of this reinforcing into position.
3.2 Steeledale shall not be liable for delays in the supply of reinforcing resulting from a cause beyond our control. Steeledale reserves the right to cancel or postpone delivery due to strikes, lock-outs, unavailability of transport and or any other causes beyond reasonable and practicable control.
3.3 Steeledale shall suspend all deliveries in the event that the Contractor fails to effect payment within agreed payment terms.
3.4 Steeledale shall supply and where possible assemble reinforcing for foundation mats, columns, cages and other structural elements to be installed into the works. The Main Contractor shall be responsible for placing the assembled items into position.
3.5 The Main Contractor shall accept the mass of the reinforcing delivered as correct as per signed delivery note unless disputed within 7 days.
3.6 Steeledale will dispatch steel in full loads and any order below 5 tons shall be regarded as “Part Load”. This may, depending upon circumstances, be subject to an additional transport cost.
3.7 Pre-assembled elements shall be subject to additional transport cost which shall be claimed as and when required by Steeledale.

4. INSTALLATION
4.1 The Main Contractor shall, free of charge supply and erect safe adequate scaffolding in accordance with the safety regulation and SANS / 0085 “Access Scaffolding”.
4.2 The Main Contractor shall provide the installation program before installation commences and agree the program with Steeledale.
4.3 The Main contractor shall, set out all lines, levels and profiles for the works in accordance with the agreed fixing programme.
4.4 Any time variation to the baseline programme shall be subject to a programme extension and payment of associated P&G costs.
4.5 Steeledale shall work normal working hours i.e. 40 Hrs per week Monday to Friday unless otherwise agreed to. The rates quoted above do not allow for a full time Steeledale Health & Safety Officer on site, however we will ensure compliance with the Occupational Health & Safety Act 85 of 1993.
4.6 Installation excludes installation of cover devices and any other undetailed reinforcing unless agreed with Steeledale.
4.7 Standard PPE can be defined as : Hard Hats, Gloves, Safety Goggles, Full Overalls, Safety Boots & Ear Plugs.

5. LIABILITY
5.1 Steeledale shall not be liable for consequential damages to the material or assembled elements caused by others whether suffered by the contractor or another party.
5.2 The Main Contractor shall be liable for the payment of all cut and bent reinforcing already supplied.
5.3 All overdue accounts will be charged interest at a lending rate of Prime + 5%
5.4 Steeledale shall not be liable for the acts or omissions of the contractor or any sub-contractor or agents.
5.5 The Main Contractor acknowledges and agrees that the commencement of the pouring of concrete shall be acceptance by the Main Contractor that the Sub Contractor’s work is complete, and that the responsibility for protecting the Sub Contractor’s work has passed to the Main Contractor.

6. EXCLUSIONS
6.1 The presence of rust will not constitute grounds for rejection of reinforcing.

7. ERRORS AND OMISSIONS
7.1 Steeledale reserves the right to rectify errors or omissions at our own expense within a reasonable time after notification by the Contractor.

8. CHANGE OF SCOPE
8.1 Any reinforcing that is cut and/or bent on request from the Contractor shall not be returned for credit. Any stock lengths of reinforcing which, by agreement with Steeledale is returned for credit shall be subject to rates agreed in writing with Steeledale.

9. GENERAL
9.1 This tender and any contract arising from it is governed by the laws of South Africa.
9.2 The Main Contractor hereby consents in terms of Section 45 of the Magistrate’s Court Act No 32 of 1944 as amended, to the jurisdiction of the magistrate’s court of any district having jurisdiction in terms of Section 28 of the said Act.
9.3 In the event of a dispute between the parties, such dispute shall be referred to arbitration. Where a contract arising from this tender does not provide for an arbitrator the parties agree that the chairman of the Association of Arbitrators (Southern Africa) shall appoint the arbitrator.
9.4 Any variations, alterations or cancellation of these Conditions of tender shall be in writing, agreed and signed by authorized representatives of both parties.
